American Signature’s “Memorial Day Sale” Giveaway (“Sweepstakes”) encourages Instagram, Facebook, and TikTok users to (i) follow @valuecityfurniture or @americansignature on Facebook, Instagram, or TikTok, (ii) Share Sponsor’s Memorial Day Giveaway post to their Facebook, Instagram, or TikTok Story and (iii) Comment on Sponsor’s Memorial Day Giveaway post tagging another Facebook, Instagram, or TikTok user for the chance to win one (1) $1,000 Value City Furniture/American Signature Furniture gift card (“Prize”).
1. ELIGIBILITY:
Persons entering the Sweepstakes (each an “Entrant”) must be eighteen (18) years of age or older at the time of entry. The Sweepstakes is open to any United States citizen that is a resident of the United States (and its territories) who: (i) has not won a prize from Sponsor in the twelve (12) calendar months preceding the end of the Entry Period; (ii) follows @valuecityfurniture or @americansignature on Facebook, Instagram, or TikTok at the time of entry through the time a Prize is claimed by the Entrant, (iii) enters the Sweepstakes through the method of entry described in Section 4 below, (iv) lives within a 50 mile radius from a Value City Furniture or American Signature Furniture store location, and (v) is willing and able to pick up the Prize at their nearest store location. All other Entrants will be disqualified. Employees of Sponsor and its divisions, subsidiaries, and affiliates, and their immediate families and/or household members are not eligible to participate.
2. CONDITIONS OF PARTICIPATION:
During the Entry Period (as defined in Section 3 below), Entrants must (i) follow @valuecityfurniture or @americansignature on Facebook, Instagram, or TikTok, (ii) Share Sponor’s Memorial Day Giveaway post to Entrant’s personal Facebook, Instagram, or TikTok Story and (iii) Comment on Sponsor’s Memorial Day Giveaway post tagging another Facebook, Instagram, or TikTok user for a chance to win the Prize. Entrant agrees to abide by and be bound by these Official Rules. Only Entrants that fulfill all the requirements in these Official Rules are eligible to win the Sweepstakes. Decisions of Sponsor are final and binding in all matters related to these Official Rules and the Selection of Winner (as described in Section 5). The Sweepstakes is subject to all applicable federal, state, and local laws and regulations and is void where prohibited by law.
3. TIMING & ENTRY PERIOD:
The Entry Period begins at 12:00 p.m. EST on May 1, 2025 and ends at 5:00 p.m. EST on May 4, 2025 (“Entry Period”).
4. TO ENTZER:
Entrant may enter the Sweepstakes by (i) following @valuecityfurniture or @americansignature on Facebook, Instagram, or TikTok, (ii) Sharing Sponsor’s Memorial Day Giveaway post to Entrant’s personal Facebook, Instagram, or TikTok Story and (iii) Commenting on Sponsor’s Memorial Day Giveaway post tagging another Facebook, Instagram, or TikTok user. Successfully completing subsections (i), (ii), and (iii) on Facebook, Instagram, or TikTok is considered an “Entry”. Successfully completing subsections (i), (ii), and (iii) on an additional social media platform is considered an “Additional Entry”. Each additional comment by Entrant on Sponsor’s Memorial Day Giveaway post tagging another Facebook, Instagram, or TikTok user personally known by the Entrant is also considered an Additional Entry. The term “Additional Entry” together with the term “Entry” are hereinafter referred to as “Entries”. Sponsor is not responsible for lost, deleted, incomplete, or late Entries. Entrants may not use any automated system to participate. Entrant must be the person who is the authorized user or owner of the Facebook, Instagram, or TikTok account from which the comment was shared, and the Facebook, Instagram, or TikTok account must be set to “public”. The “authorized user or owner” is the natural person to whom the Facebook, Instagram, or TikTok account is assigned. All Entries become the property of Sponsor. Winner may be required to show proof of being the authorized user or owner of the Facebook, Instagram, or TikTok account and must provide a valid email address. Entrant must be the person who is the authorized user or domain name owner of the Facebook, Instagram, or TikTok account listed on the Entry Form. Entrant must be the person who is the authorized user or domain name owner of the email address assigned by an internet service provider, online service provider, carrier, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning the email address for the domain associated with the submitted email address.
5. SELECTION OF WINNER:
Sponsor will randomly select one (1) winner on May 7, 2025, from all eligible Entries (“Winner”). Final selection of Winner is made in Sponsor’s sole discretion and is final pending confirmation of Winner’s Eligibility (as described in Section 1) and Winner’s acceptance of the Prize. Sponsor will contact Winner via direct message (DM) on Facebook, Instagram, or TikTok. All Entries have the same chances of winning. Facebook, Instagram, and TikTok are unaffiliated with Sponsor, are not a sponsor or endorser of this Sweepstakes, and will not participate in the selection of Winner.
6. PRIZE:
Winner will be awarded the Prize which consists of one (1) $1,000 VCF/ASF gift card. The Prize is non-negotiable and non-transferable. Sponsor will notify Winner via Direct Message on Facebook, Instagram, or TikTok along with instructions on how Winner may claim the Prize (“Notification”). Winner must respond to Sponsor within forty-eight (48) hours after Notification. If Sponsor does not receive a response from Winner within forty-eight (48) hours of Notification, Sponsor reserves the right to terminate the Prize or choose an alternate Winner. Winner is solely responsible for all fees, federal, state, and local taxes, and other expenses relating to the acceptance, use, and possession of the Prize. Within ten (10) calendar days following the date of the Notification, Winner will be required to sign and return a Publicity Release and an Affidavit of Eligibility and Liability Release form, where legally permissible. Failure to comply with this deadline or these Official Rules may result in forfeiture of the Prize and Sponsor’s selection of an alternate Winner or termination of the Prize in Sponsor’s sole discretion. Any alternate Winner is subject to all requirements in these Official Rules. Sponsor shall have no responsibility or obligation to any Winner or alternate Winner who is unable or unavailable to accept or utilize the Prize.
Awarding of the Prize is contingent upon fulfilling all requirements set forth herein.
7. LIMITATIONS OF LIABILITY AND RELEASE:
By entering the Sweepstakes, Entrant agrees to release and hold harmless Sponsor and its parent, subsidiaries, affiliates, and the officers, directors, employees, representatives, and agents of each of them (collectively, the “Released Parties”) from and against any claim, liability, loss, or cause of action (each, a “Claim”) arising out of or in connection with Entrant’s participation in the Sweepstakes. Entrant further agrees that in connection with any Claim, the Released Parties’ liability will be limited to the Entrant’s cost of entering and participating in the Sweepstakes. In no event shall the Released Parties be liable for Entrant’s attorney’s fees. Entrant waives the right to claim any other additional damages whatsoever, including but not limited to, punitive, consequential, direct or indirect damages. By entering the Sweepstakes, Entrant further agrees to release and hold harmless the Released Parties from any and all liability for injuries, death, or losses or damages to persons or property AS WELL AS FROM CLAIMS OR ACTIONS BASED ON COPYRIGHT OR INTELLECTUAL PROPERTY INFRINGEMENT, MISAPPROPRIATION, PUBLICITY RIGHTS, DEFAMATION AND/OR INVASION OF PRIVACY.
The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by Entrant, printing errors or by any of the equipment or programming associated with or utilized in the Sweepstakes; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Sweepstakes; (4) technical or human error which may occur in the administration of the Sweepstakes or the processing of entries; (5) late, lost, undeliverable, damaged or stolen mail or social media posts; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrant's participation in the Sweepstakes or receipt or use or misuse of any prize.
8. USE OF DATA:
Sponsor may collect personal data about Entrant in accordance with its Privacy Policy. The Privacy Policy is available at https://www.valuecityfurniture.com/privacy-policy and https://www.americansignaturefurniture.com/privacy-policy. By entering the Sweepstakes, Entrant acknowledges that Entrant has read and accepted Sponsor’s Privacy Policy and agrees to Sponsor’s collection and usage of Entrant’s personal information, including Sponsor’s right to use Entrant’s name and Facebook, Instagram, and TikTok (and other social media) handle and information and agrees to Sponsor’s use of any other information Entrant provides, such as comments and photos, on any and all marketing collateral in Sponsor’s sole discretion.
9. GENERAL:
Sponsor reserves the right at its sole discretion to disqualify any Entrant who engages in harassment or bullying. If for any reason, the Sweepstakes is not operating as intended, as a result of infection by computer viruses, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes that corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Sweepstakes, Sponsor reserves the right at its sole discretion to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Sweepstakes. In such event, Sponsor may (in its sole discretion) award the Prize to the most qualified Entry or Entries from among the eligible Entries received up to the time of the impairment. Any attempt by any person to deliberately undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. In the event of a dispute as to the identity of any Entrant, the authorized account holder of the Instagram, Facebook, or TikTok account used to enter the Sweepstakes will be deemed to be the Entrant.
10. WINNERS’ LIST REQUEST:
To request confirmation of the name of the Winner, please send a self-addressed, stamped business size envelope, by May 16, 2025, to: ASI “Memorial Day Sale” Giveaway Sweepstakes, American Signature Inc. Marketing Department, 4300 East Fifth Avenue, Columbus, Ohio 43219.
11. GOVERNING LAW:
The Sweepstakes and the rights and obligations of the Sponsor and participants will be governed by and controlled by the laws of the State of Ohio, applicable to contracts made and performed therein without reference to the applicable choice of law provisions. All actions, proceedings, or litigation relating here to will be instituted and prosecuted solely within the State of Ohio, County of Franklin. Each and every Entrant consents to the jurisdiction of the state courts of Ohio and federal court located within such state and county with respect to any action, dispute, or other matter pertaining to or arising out of the Sweepstakes.
