American Signature’s “National Reclining Month” Giveaway (”Sweepstakes”)

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER FOR A CHANCE TO WIN. BY PARTICIPATING IN THE SWEEPSTAKES, THE NOMINATING PARTY AGREES TO BE BOUND BY THESE OFFICIAL RULES AND THE TERMS & CONDITIONS AT HTTPS://WWW.AMERICANSIGNATUREFURNITURE.COM/TERMS-AND-CONDITIONS.

Sponsored by American Signature, Inc., dba Value City Furniture (VCF) and American Signature Furniture (ASF) (”Sponsor”) American Signature’s “National Reclining Month” Giveaway (”Sweepstakes”) encourages participants to submit a form on Value City Furniture/American Signature Furniture’s website (www.valuecityfurniture.com/giveaway or www.americansignaturefurniture.com/giveaway) (the “Form”) nominating the greatest lounger of all time, for a chance for the Nominee (as defined below) to win one (1) $5,000.00 Value City Furniture/American Signature Furniture gift card (”Prize”). The Form includes: the email of the Nominating Party (as defined below) and the Nominee’s name, address, email, and a description of why the Nominee is the greatest lounger of all time.

1. ELIGIBILITY: Persons submitting the Form (each a “Nominating Party”) and persons nominated on the Form (”Nominees”) must be eighteen (18) years of age or older at the time the Form is submitted. The Sweepstakes is open to any United States citizen that is a resident of the United States (and its territories) who: (i) has not won a prize from Sponsor in the twelve (12) calendar months preceding the end of the Entry Period; (ii) enters the Sweepstakes through the method of entry described in Section 4 below, (iii) lives within a SO-mile radius from a VCF/ASF store location and (iv) is willing and able to pick up the gift card at their nearest store location. All other Nominees will be disqualified. Ernployees of Sponsor and its divisions, subsidiaries, and affiliates, and their immediate families and/or household members are not eligible to win the Prize; however, they may submit the Form to nominate persons who are not Employees of Sponsor and its subdivisions, subsidiaries, and affiliates or members of their immediate family and/or household.

2. CONDITIONS OF PARTICIPATION: During the Entry Period (as defined in Section 3 below), the Nominating Party may submit the Form on Value City Furniture/American Signature Furniture’s Giveaway website (www.valuecityfurniture.com/giveaway or www.americansignaturefurniture.com/giveaway) nominating the greatest lounger of all time. The Nominating Party may choose to nominate themself. The Form includes: the Nominating Party’s email and the Nominee’s name, address, email, and a description of why the Nominee is the greatest lounger of all time. The Nominating Party agrees to abide by and be bound by these Official Rules. Only Nominees that fulfill all the requirements in these Official Rules are eligible to win the Sweepstakes. Decisions of Sponsor are final and binding in all matters related to these Official Rules and the Selection of Winner (as described in Section 5). The Sweepstakes is subject to all applicable federal, state, and local laws and regulations and is void where prohibited by law.

4. TO ENTER: The Nominating Party may nominate a Nominee for the Sweepstakes by submitting the Form on Value City Furniture/American Signature Furniture’s website

3. TIMING AND ENTRY PERIOD: The Entry Period begins at 8:00 a.rn. EST on December 31, 2024 and ends at 5:00 p.m. EST on February 3, 2025 (”Entry Period”).

4. TO ENTER: The Nominating Party may nominate a Nominee for the Sweepstakes by submitting the Form on Value City Furniture/American Signature Furniture’s website (www.valuecityfurniture.com/giveaway or www.americansignaturefurniture.com/giveaway). The Form includes: the Nominating Party’s email and the Nominee’s name, address, email, and a description of why the Nominee is the greatest lounger of all time (successfully completing the Form is considered an “Entry”). Each Nominee may receive up to fifty (50) Entries. Sponsor is not responsible for lost, deleted, incomplete, or late Entries. The Nominating Party may not use any automated system to participate. All Entries become the property of Sponsor. The Nominating Party must be the person who is the authorized user or dornain name owner of the email address assigned by an internet seNice provider, online seNice provider, carrier or other organization (e.g., business, educational institution, etc.) that is responsible for assigning the email address for the domain associated with the email address submitted for the Nominating Party.

5. SELECTION OF WINNER: Sponsor will randomly select one (1) winner on February 4, 2025, from all eligible Entries (the “Winner”). Final selection of Winner is made in Sponsor’s sole discretion and is final pending confirmation of Winner’s Eligibility (as described in Section 1) and Winner’s acceptance of the Prize. Sponsor will contact Winner via email. All Entries have the same chances of winning.

6. PRIZE: Winner will be awarded the Prize which consists of one (1) $5,000 VCF/ASF gift card. The Prize is non-negotiable and non-transferable. Sponsor will notify Winner via email with instructions on how Winner may claim the Prize (”Notification”). Winner must respond to Sponsor within forty-eight (48) hours after Notification. If Sponsor does not receive a response from Winner within forty-eight (48) hours of Notification, Sponsor reseNes the right to terminate the Prize or choose an alternate Winner. Winner is sol ely responsible for all fees, federal, state, and local taxes, and other expenses relating to the acceptance, use, and possession of the Prize. Sponsor shall have no responsibility or obligation to Winner or potential Winner who is unable or unavailable to accept or utilize the Prize. Within ten (10) calendar days following the date of the Notification, Winner will be required to sign and return a Winner’s Declaration, Acceptance, and Release Form, where legally permissible. Failure to comply with this deadline or these Official Rules may result in forfeiture of the Prize and Sponsor’s selection of an alternate Winner or termination of the Prize in Sponsor’s sole discretion. Any alternate Winner is subject to all requirements in these Official Rules. Sponsor shall have no responsibility or obligation to any Winner who is unable or unavailable to accept or utilize the Prize.

7. LIMITATIONS OF LIABILITY AND RELEASE: By participating in the Sweepstakes, each Nominating Party and the Winner agree to release and hold harmless Sponsor and its parent, subsidiaries, affiliates, and the officers, directors, en1ployees, representatives, and agents of each of them (collectively, the “Released Parties”) from and against any claim,liability, loss, or cause of action (each, a “Claim”) arising out of or in connection with their participation in the Sweepstakes. Each Nominating Party and the Winner further agree that in connection with any Claim, the Released Parties’ liability will be limited to the cost of entering and participating in the Sweepstakes. In no event shall the Released Parties be liable for a Nominating Party’s or Winner’s attorney’s fees. Each Nominating Party and the Winner waives the right to claim any other additional damages whatsoever, including but not lin1ited to, punitive, consequential, direct or indirect damages. By participating in the Sweepstakes, each Nominating Party and the Winner further agrees to release and hold harmless the Released Parties from any and all liability for injuries, death, or losses or darnages to persons or property AS WELL AS FROM CLAIMS OR ACTIONS BASED ON COPYRIGHT OR INTELLECTUAL PROPERTY INFRINGEMENT, MISAPPROPRIATION, PUBLICITY RIGHTS, DEFAMATION AND/OR INVASION OF PRIVACY. The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by the Nominating Party, Winner, printing errors or by any of the equipment or programming associated with or utilized in the Sweepstakes; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human inteNention in any part of the entry process or the Sweepstakes; (4) technical or human error which may occur in the administration of the Sweepstakes or the processing of entries; (5) late, lost, undeliverable, damaged or stolen mail; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from the participation in the Sweepstakes or receipt or use or misuse of any prize.

8. USE OF DATA: Sponsor may collect and use personal data about the Nominating Party and the Winner in accordance with its Privacy Policy. The Privacy Policy is available at https://www.valuecityfurniture.com/privacy-policy and https://www.americansignaturefurniture.com/privacy-policy. By participating in the Sweepstakes, each Nominating Party and Winner acknowledges that they have read and accepted Sponsor’s Privacy Policy and agrees to Sponsor’s collection and usage of the Nominating Party’s and Winner’s personal information, including Sponsor’s right to use the Nominating Party’s and Winner’s name and information provided on the Form and agrees to Sponsor’s use of any other information a Nominating Party or the Winner provides on any and all marketing collateral in Sponsor’s sole discretion. Sponsor will not store nor use any personal data about a Nominee, except for in the case of the Winner, whose information provided on the Form will be used to contact the Winner and verify their eligibility to win the Sweepstakes.

9. GENERAL: Sponsor reseNes the right at its sole discretion to disqualify any Nominating Party or Nominee who engages in harassment or bullying. If for any reason, the Sweepstakes is not operating as intended, as a result of infection by computer viruses, bugs, tampering, unauthorized inteNention, fraud, technical failures, or any other causes that corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Sweepstakes, Sponsor reserves the right at its sole discretion to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Sweepstakes. In such event, Sponsor may (in its sole discretion) award the Prize to the most qualified Entry from among the eligible Entries received up to the time of the impairment. Any attempt by any person to deliberately underrnine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law and, should such an attempt be made, Sponsor reseNes the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. In the event of a dispute as to the identity of any Nominating Party or Nominee, the authorized account holder of the email provided on the Form will be deemed to be the Nominating Party or Nominee as the case may be.

10. WINNER’S LIST REQUEST: To request confirmation of the name of the Winner, please send a self-addressed, stamped business size envelope, by February 14, 2025, to: ASI ”National Reclining Month” Giveaway Sweepstakes, American Signature Inc. 11.GOVERNING LAW: The Sweepstakes and the rights and obligations of the Sponsor and participants will be governed by and controlled by the laws of the State of Ohio, applicable to contracts made and performed therein without reference to the applicable choice of law provisions. All actions, proceedings, or litigation relating hereto will be instituted and prosecuted solely within the State of Ohio, County of Franklin. Each and every Non1inating Party and the Winner consents to the jurisdiction of the state courts of Ohio and federal court located within such state and county with respect to any action, dispute, or other matter pertaining to or arising out of the Sweepstakes.
